You agree to defend, indemnify, and hold harmless Punch Pizza and its officers, directors, employees, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

13. Dispute Resolution

13.1 Informal Resolution

We will attempt to resolve the dispute informally within thirty (30) days of receiving your notice. If the parties are unable to resolve the dispute informally within such period, either party may pursue the matter through binding arbitration as set forth below.

Except for disputes that qualify for small claims court, and except as expressly stated herein, any dispute, claim, or controversy arising out of or relating to these Terms, your use of the Services, or our food products, whether based in contract, tort, statute, fraud, misrepresentation, or any other legal or equitable theory, shall be resolved by binding individual arbitration administered by a recognized arbitration association in the United States, such as the American Arbitration Association (AAA), in accordance with its Consumer Arbitration Rules then in effect.

The arbitration shall be conducted in the English language. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. You and Punch Pizza agree that any arbitration shall be conducted in your individual capacity only, and not as a class action or other representative action. You expressly waive your right to file a class action or seek relief on a class basis.

13.3 Class Action Waiver

YOU AND PUNCH PIZZA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Further, unless both you and Punch Pizza agree otherwise, the arbitrator may not consolidate more than one person's claims, and may not otherwise preside over any form of a representative or class proceeding.

13.4 Exceptions to Arbitration

Notwithstanding the foregoing, either party may bring an individual action in small claims court, and either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of a party's intellectual property rights.

14. Term and Termination

These Terms of Service are effective as of the date you first access the Site or use the Services and shall remain in full force and effect for so long as you continue to use the Site or Services, unless earlier terminated in accordance with these Terms.

14.1 Termination by You
